1. About Simplistic Fishing

Simplistic Fishing produces detailed bass fishing waypoint and hot spot data for lakes across the United States, delivered on SD cards compatible with all graphs on the market today with SD card slots (Lowrance, Humminbird, Garmin). Our products help anglers locate productive fishing structure including brush piles, ledges, drop-offs, creek channel swings, humps, points, and more.

We are committed to supporting our retail partners with quality products, clear communication, and reliable fulfillment.

2. Order Requirements

Minimum Opening Order: $350 (wholesale value, before shipping). This applies to your first order from Simplistic Fishing.

Minimum Reorder: $150 (wholesale value, before shipping). All subsequent orders must meet this threshold.

Order Confirmation: You will receive an order confirmation and pro forma invoice within one (1) business day of submission.

3. Volume Pricing Tiers

Wholesale pricing is based on total order dollar value (mix-and-match across SKUs):

• Tier 1: $0 – $499.99 → 50% off MSRP
• Tier 2: $500 – $1,499.99 → 55% off MSRP
• Tier 3: $1,500 and above → 60% off MSRP

Tier discount is calculated on the total order value. There is no per-SKU minimum quantity beyond a 2-unit minimum per item. Mix and match products to reach the next tier.

4. Payment Terms

All orders are prepaid. We accept the following payment methods:

• Credit / Debit Card (Visa, Mastercard, American Express, Discover)
• ACH Bank Transfer
• Business Check (orders ship after check clears, typically 5–7 business days)

Orders will not ship until payment has been received and cleared. Pro forma invoices are valid for 14 days; if payment is not received within that window, the order will be cancelled and pricing will need to be re-quoted.

Net 30 Terms: Net 30 payment terms are not currently offered. We may extend Net 30 terms to established retail partners after a track record of consistent prepaid orders, at our sole discretion. Inquire with us directly if interested.

5. Sales Tax / Resale Certificate

Required Documentation: Before your first order can be processed, you must provide a completed and signed Texas Form 01-339 (Texas Sales and Use Tax Resale Certificate). This certifies that you are purchasing products for resale and exempts the transaction from Texas sales tax.

If you are an out-of-state retailer, you may provide a resale certificate from your home state along with your sales tax permit number.

Without a valid resale certificate on file, Simplistic Fishing is required by law to collect applicable sales tax on your wholesale order. We retain resale certificates for a minimum of four (4) years per Texas Comptroller requirements.

6. Shipping & Fulfillment

Lead Time: Orders ship within 3–5 business days of payment clearing. Most orders ship within 2–3 business days; the 5-day window allows for occasional high-volume periods.

Carrier: We ship via USPS or UPS, selecting the most cost-effective option for your order size and destination. If you have a carrier preference, please note it on your order; we will accommodate when reasonable.

Shipping Costs: Simplistic Fishing offers FREE shipping on all wholesale orders within the continental United States. Shipping to Alaska, Hawaii, and US territories is quoted separately and may be billed to the buyer; please contact us before placing such orders.

Tracking: Tracking numbers will be emailed at the time of shipment.

Risk of Loss: Title and risk of loss transfer to the buyer when goods are delivered to the carrier at our origin location.

7. Damaged Shipments

If your shipment arrives damaged, please contact us within seven (7) calendar days of delivery at tyler@simplisticfishing.com. Include:

• Your order number
• Photos of the damaged packaging and product
• Description of the damage

Damaged units will be replaced at no cost to you, including replacement shipping. Reports received after the 7-day window may not qualify for free replacement.

8. Defective Product Warranty

90-Day Replacement Warranty: Simplistic Fishing SD cards carry a 90-day warranty against manufacturing defects, beginning from the date of the customer's purchase from your store.

If a customer returns a defective SD card to your store within 90 days of purchase, you may submit it to us for replacement. Required information:

• Original SKU and lake name
• Description of the defect (data unreadable, card damaged, incompatibility, etc.)
• Approximate customer purchase date

We will ship a replacement at no cost. The defective card does not need to be returned unless specifically requested.

9. Return Policy

Returns are accepted only for defective product as covered under the 90-Day Defective Product Warranty (Section 8). We do not accept returns for the following reasons:

• Slow sell-through or excess inventory
• Customer change of mind
• Wrong product selected by customer (e.g., incorrect lake)
• Compatibility issues caused by customer's outdated firmware

All wholesale sales are final except for defective product claims.

10. Minimum Advertised Price (MAP) Policy

MAP Floor: 80% of MSRP. You may not advertise Simplistic Fishing products for less than 80% of the current Manufacturer's Suggested Retail Price (MSRP).

"Advertised price" includes:

• In-store price tags and signage
• Your store's website pricing
• Email marketing
• Social media posts and ads
• Print advertising

Once a customer is in your store or on your website, you are free to negotiate or offer additional discounts privately ("call for best price" is permitted). The MAP applies only to publicly advertised pricing.

MAP Violations: First violation: written notice and 7 days to correct. Second violation: 30-day suspension of wholesale account. Third violation: termination of wholesale account.

11. Online Resale Restrictions

Permitted: Sale of Simplistic Fishing products on your store's own e-commerce website (e.g., yourshop.com).

Not Permitted: Sale of Simplistic Fishing products on third-party online marketplaces, including but not limited to:

• Amazon (Amazon.com, Amazon Marketplace, FBA)
• eBay
• Walmart Marketplace
• Etsy
• Facebook Marketplace (commercial listings)
• Other third-party reseller platforms

Marketplace sales are restricted because they tend to drive uncontrolled price erosion that harms all retail partners and the brand. Violations of this policy are grounds for immediate termination of the wholesale account.

If you have a unique sales channel you'd like to discuss, contact us before listing.

12. Territory

Simplistic Fishing does not grant exclusive territories. We may sell to multiple retail partners in the same city, region, or state. We do, however, exercise reasonable discretion when adding new accounts in a saturated area, and we welcome feedback if you feel a market is over-served.

13. Use of Brand Materials

Retail partners may use Simplistic Fishing logos, product images, and marketing materials provided by us for the purpose of promoting and selling our products. Specifically:

• Use of our logo and product photography is permitted in your in-store displays, website, and marketing.
• You may not modify our logos or alter product photography in misleading ways.
• You may not register domain names, trademarks, or social media handles incorporating "Simplistic Fishing" or confusingly similar names.
• All brand assets remain the property of Simplistic Fishing.

14. Account Status

To maintain an active wholesale account, retail partners must:

• Place at least one qualifying order per 12-month period
• Comply with all terms in this document, including MAP and online resale restrictions
• Maintain current contact information and resale certificate on file

Inactive accounts (no order in 12+ months) may be reviewed and reclassified. Resuming wholesale activity may require submission of a fresh resale certificate and acknowledgment of current terms.

15. Changes to These Terms

Simplistic Fishing reserves the right to update these Wholesale Terms & Conditions at any time. Updates will be communicated via email at least 30 days before the effective date. Continued ordering after the effective date constitutes acceptance of the updated terms.

16. Acknowledgment

Placing an order with Simplistic Fishing constitutes acceptance of these Wholesale Terms & Conditions in their entirety. We recommend saving a copy for your records.
